1. General Provisions and Definitions

The "Services" refer to the OfoxAI unified API gateway platform available at ofox.ai, app.ofox.ai, api.ofox.ai, and docs.ofox.ai, including all APIs, SDKs, documentation, and related tools provided by the Company.

"User" refers to any individual or entity that accesses or uses the Services, including developers, businesses, and their authorized representatives.

"API Key" refers to the unique authentication credential issued to Users for accessing the Services. "Models" refer to the third-party large language models and AI services accessible through our platform.

2. Account Registration and Management

To use the Services, you must register an account and obtain API credentials. You agree to provide accurate, complete, and current information during registration and to update such information as necessary.

You are solely responsible for safeguarding your API keys and account credentials. You must not share your API keys with unauthorized third parties. Any activity conducted through your account or using your API keys is your responsibility.

You must be at least 18 years of age to register an account. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to suspend or terminate accounts that violate these Terms, exhibit abusive usage patterns, or remain inactive for an extended period.

3. Services and Usage Rules

OfoxAI provides a unified API gateway that routes requests to various third-party AI model providers. We act as an intermediary and do not create, train, or control the underlying AI models.

You agree to use the Services in compliance with all applicable laws, regulations, and these Terms. You are responsible for ensuring that your use of AI-generated outputs complies with applicable laws and regulations in your jurisdiction.

We may impose rate limits, usage quotas, or other technical restrictions to ensure fair access and platform stability. We will make reasonable efforts to communicate any significant changes to service capabilities or availability.

4. Prohibited Conduct

You agree not to use the Services to:

• Generate, distribute, or facilitate illegal content, including but not limited to content that promotes violence, terrorism, child exploitation, or fraud. • Engage in activities that violate applicable laws or regulations, including data protection and privacy laws. • Attempt to reverse engineer, decompile, or extract the underlying technology of the Services or any third-party models. • Circumvent or attempt to circumvent any security measures, rate limits, or access controls. • Use the Services to develop competing API proxy or gateway services without prior written consent. • Transmit malware, viruses, or any other harmful code through the Services. • Engage in automated scraping, excessive API calls, or any activity that may degrade service performance for other users. • Misrepresent your identity or affiliation, or impersonate any person or entity.

5. Intellectual Property

The OfoxAI platform, including its software, design, documentation, trademarks, and proprietary technology, is owned by the Company and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

You retain ownership of the content you submit to the Services ("Input"). Subject to compliance with these Terms and the policies of the underlying model providers, you own the outputs generated by AI models in response to your Input ("Output"), to the extent permitted by applicable law.

You acknowledge that AI-generated outputs may not be unique and that other users may receive similar or identical outputs. The Company makes no claim of ownership over your Input or Output, and makes no warranty regarding the intellectual property status of any AI-generated content.

6. Fees and Payment

The Services operate on a pay-as-you-go model. You will be charged based on your actual API usage (tokens consumed) according to the pricing published on our website. Prices may vary by model and are subject to change with reasonable notice.

You agree to maintain a valid payment method and sufficient account balance. We reserve the right to suspend access to the Services if your account has insufficient funds or outstanding payments.

All fees are non-refundable unless otherwise stated or required by applicable law. We may offer promotional credits or free tiers at our discretion, and we reserve the right to modify or discontinue such offers at any time.

7. Privacy Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Services will be uninterrupted, error-free, or secure; (b) AI-generated outputs will be accurate, complete, or suitable for any particular purpose; (c) third-party models will be continuously available or perform in any specific manner.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You acknowledge that the Services rely on third-party AI model providers and infrastructure services. We are not responsible for any disruptions, changes, or discontinuations of third-party services beyond our reasonable control.

9. Modification and Termination

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website, email notification, or API dashboard. Your continued use of the Services after such notification constitutes acceptance of the modified Terms.

You may terminate your account at any time by contacting support@ofox.ai. We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, liability limitations, and governing law) shall continue to apply.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles.

Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Rules.

The arbitration shall be conducted in English and held in Singapore. The arbitral award shall be final and binding on both parties.
