Prompt
Draft a technology services agreement for a regional restaurant chain hiring a software firm to build a loyalty mobile app; we are the client. Purpose: pin down deliverables, acceptance and payment and protect our interests. Requirements: identify the parties and the scope of services, list deliverables and milestones, set acceptance criteria and process, milestone-based payments, ownership of work product, confidentiality, and remedies for late delivery; leave amounts, percentages, governing law and dispute resolution blank for me to fill in. Use clearly numbered clauses and precise wording, and note at the end that the draft is for reference only and must be reviewed by an attorney before signing.
