Terms of Service

Welcome to OfoxAI. These Terms of Service ("Terms") govern your access to and use of the OfoxAI platform, APIs, and related services (collectively, the "Services") provided by NICE TALK PTE. LTD. ("Company", "we", "us", or "our"), a company incorporated in Singapore. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Definitions

1.1 NICE TALK: refers to NICE TALK PTE. LTD. ("NICE TALK", the "Company", or "we"), the operator of the OfoxAI platform.

1.2 NICE TALK and its affiliates: refers to NICE TALK PTE. LTD. and its parent, subsidiaries, branches, and any companies, organizations, or individuals connected to NICE TALK through cooperation, investment, control, or joint control.

1.3 OfoxAI: refers to the OfoxAI platform at https://ofox.ai ("OfoxAI" or the "OfoxAI Platform").

1.4 OfoxAI Platform Rules: include all rules, detailed guidelines, descriptions, processes, interpretations, announcements, and notices that have been or may in the future be published/updated on the OfoxAI website.

1.5 Privacy Policy: refers to the privacy policy published or to be published/updated on the OfoxAI website.

1.6 OfoxAI Services: the OfoxAI unified API gateway platform, including all APIs, SDKs, documentation, and related tools offered on ofox.ai, app.ofox.ai, api.ofox.ai, and docs.ofox.ai.

1.7 User: any individual or entity that accesses or uses the OfoxAI Platform, more often referred to as "you" in this Agreement.

1.8 API Key: the unique authentication credential issued to a User for accessing the Services.

1.9 Model: the third-party large language models and AI services accessible through our platform.

2. Scope of the Agreement

2.1 This Agreement: This Agreement is concluded between you and NICE TALK and is legally binding on both parties.

2.2 Updates and Adjustments: Given the rapid development of the internet, the terms listed in this Agreement between you and NICE TALK cannot fully enumerate and cover all of your and NICE TALK's rights and obligations, nor can the existing arrangements be guaranteed to meet future needs. You acknowledge and agree that NICE TALK may update or adjust OfoxAI, the Services, and/or the content of this Agreement as needed.

2.3 Supplementary Agreements: The Privacy Policy and the OfoxAI Platform Rules (and their amendments and supplements from time to time) are supplementary to this Agreement, inseparable from it, and have equal legal effect. If you use or continue to use OfoxAI products or services, you are deemed to have fully read, acknowledged, and agreed to such supplementary agreements (and their amendments from time to time), and you shall equally comply with them.

3. Account Registration and Use

3.1 User Eligibility

3.1.1 You confirm that you must be at least 18 years old to register an OfoxAI account, or your age must be sufficient to enter into a binding contract in your jurisdiction. If you do not have the civil capacity commensurate with your conduct, please read this Agreement and the supplementary agreements with the accompaniment and guidance of your legal guardian (the "Guardian"), and use OfoxAI only after confirming the Guardian's consent. You and your Guardian shall bear all consequences of agreeing to this Agreement and the supplementary agreements and using OfoxAI, in accordance with applicable laws.

3.1.2 If you use OfoxAI services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this Agreement.

3.2 Acquisition, Use, and Transfer of Accounts

3.2.1 When you fill out the registration form, read and agree to this Agreement, and complete all registration steps, you will obtain an OfoxAI Platform account and API Key and become an OfoxAI Platform user.

3.2.2 The OfoxAI Platform allows only one account per user. If there is evidence of improper registration (including but not limited to frequent or bulk registration) or improper use of multiple OfoxAI Platform accounts, the OfoxAI Platform may freeze or close accounts, refuse service, or take other measures without prior consent. If any improper registration or use causes losses to NICE TALK, the OfoxAI Platform, or related parties, you shall bear full (direct or indirect) liability.

3.2.3 You are entitled to log into the OfoxAI Platform using the member name, email, mobile number (the "Account Name"), API Key, and password you set or confirmed.

3.2.4 Because your OfoxAI Platform account is associated with your personal and commercial information, it is limited to your own use. Without the prior consent of NICE TALK or OfoxAI, any direct or indirect authorization by you for a third party to use your account or obtain information under your account is invalid, and NICE TALK or OfoxAI shall not be liable for any loss or damage arising therefrom. If NICE TALK or OfoxAI determines that the use of your account may endanger the information security of the platform, NICE TALK or OfoxAI may refuse to provide services or terminate this Agreement without your prior consent.

3.2.5 You shall not transfer your registered OfoxAI Platform account without the permission of NICE TALK or OfoxAI. Otherwise, NICE TALK or OfoxAI is entitled to pursue your breach liability, and any resulting liability and consequences shall be borne by you.

3.2.6 You agree that after registration, to better use the services and ensure account security, you shall complete real-name verification as prompted by OfoxAI; otherwise, you may be unable to use OfoxAI services or may be restricted during use.

3.3 Registration Information Management

3.3.1 When using OfoxAI Platform services, you shall accurately and completely provide your information as prompted (including your name/title, email address, contact number, verification code, etc.) so that NICE TALK, OfoxAI, or other users can contact you. You understand and agree that you have the obligation to ensure that the information you provide is truthful, complete, and valid.

3.3.2 Account information (name, avatar, bio, etc.) set when registering or using OfoxAI must not violate applicable laws, public morality, or the OfoxAI Platform's relevant prohibited-word database (if any) regarding registered names; otherwise, you may not complete registration. Your account information must also not contain harmful content or infringe on the lawful rights of third parties.

3.3.3 You shall promptly update the information you provide. NICE TALK or OfoxAI may from time to time inspect and verify your information as permitted by law, and you shall cooperate by providing the latest, truthful, complete, and valid information.

3.3.4 If NICE TALK or OfoxAI cannot contact you using the latest information you provided, if you fail to provide information in a timely manner as requested, if the information you provide is materially untrue, or if administrative or judicial authorities verify that the information is invalid, you will bear all resulting losses and adverse consequences incurred by you, others, NICE TALK, and OfoxAI. NICE TALK and/or OfoxAI are entitled to issue inquiries or rectification notices, require re-authentication, or suspend or terminate part or all of OfoxAI Platform services to you, without liability. If you provide any wrong, false, outdated, or incomplete information, or NICE TALK or OfoxAI has reasonable grounds to suspect the information you provided is wrong, false, outdated, or incomplete, NICE TALK or OfoxAI may suspend, lock, or terminate your account and refuse part or all OfoxAI services. In such cases, NICE TALK or OfoxAI shall not be liable, and you agree to bear any direct or indirect costs or losses arising therefrom.

3.4 Account Security

3.4.1 Your account is set and kept by you. NICE TALK or OfoxAI will never proactively ask for your password. Use your account cautiously and safeguard it carefully; make sure to log out properly at the end of each session.

3.4.2 Losses and consequences arising from your active disclosure, poor safekeeping, or being subject to attacks, fraud, or similar acts are not the responsibility of NICE TALK or OfoxAI. You should pursue infringers through judicial, administrative, or other remedies.

3.4.3 Except in cases of fault on the part of NICE TALK or OfoxAI, you are responsible for all activities under your account (including but not limited to online signing of electronic agreements and submitting orders).

3.4.4 If you discover unauthorized access to your account or any situation that may cause your account to be stolen or lost, notify OfoxAI immediately. You understand that any action OfoxAI takes in response requires reasonable time and may not prevent infringement or its expansion. Except for statutory fault of NICE TALK or OfoxAI, NICE TALK or OfoxAI bears no responsibility.

3.5 Account Deactivation

3.5.1 You may apply to deactivate your account following OfoxAI Platform procedures, but you remain responsible for your conduct prior to deactivation or during use of the Services.

3.5.2 After successful deactivation, unless otherwise required by applicable law, NICE TALK will not recover or provide any records, content, or virtual property of the account. Please proceed with caution.

3.6 Handling of Account Violations

3.6.1 If your registration or use of an OfoxAI account violates applicable laws or this Agreement (including supplementary agreements and their amendments), NICE TALK may refuse registration; if already registered, NICE TALK may, depending on circumstances, require corrective action within a time limit, or unilaterally impose short-term suspension, permanent ban, account deactivation, or similar measures. Any resulting losses to the User shall be borne by the User, and NICE TALK is entitled to seek compensation from the User for any losses or damages it suffers.

4. OfoxAI Product and Service Standards

4.1 Product and Service Content

4.1.1 You may browse, save, order, and receive related ancillary services for OfoxAI software products on the OfoxAI Platform. Minors or persons with limited civil capacity should transact only after obtaining Guardian consent.

4.1.2 When purchasing products and services on the OfoxAI Platform, carefully confirm the name, version, price, quantity, usage period, and other important matters. You must exercise your own judgment with respect to content on the OfoxAI Platform and bear the risks arising from its use.

4.1.3 Your purchases shall be based on genuine consumer needs. You shall not engage in malicious purchasing, malicious rights-assertion, or other acts that disrupt normal transaction order. To maintain order and safety, NICE TALK or OfoxAI may proactively close relevant transactions upon discovering such acts, and NICE TALK or OfoxAI shall not be liable for any loss or damage thereby caused to you.

4.1.4 OfoxAI provides a unified API gateway that routes requests to third-party AI model providers. As an intermediary service, we do not create, train, or control the underlying AI models. To ensure fair access and platform stability, we may apply rate limits, quotas, or other technical restrictions. We will make reasonable efforts to notify you of significant changes to service capability or availability before taking such actions.

4.2 Limitation of Liability

4.2.1 We cannot guarantee the legality, authenticity, accuracy, or completeness of content generated by OfoxAI or third-party AI models, nor does such content represent our views or positions. You must exercise your own judgment regarding AI-generated information and bear all risks arising from its use.

4.2.2 NICE TALK and OfoxAI will perform basic safeguarding obligations as required by applicable law but do not guarantee that the websites, products, or third-party models containing the Services will be error-free or uninterrupted, nor that the websites, services, or servers are free of harmful components. For contract performance obstacles, defects, delays, or changes caused by the following, NICE TALK or OfoxAI shall not bear breach liability: (1) Force majeure such as natural disasters, strikes, riots, wars, governmental acts, or judicial/administrative orders; (2) Public-service factors or third-party factors such as power outages or network failures; (3) Where NICE TALK and/or OfoxAI has managed in good faith, factors such as routine or emergency equipment and system maintenance, equipment and system failures, network information and data security.

4.2.3 When using a specific OfoxAI Platform service, that service may have a separate agreement or rules. Please read and agree to them before use. If the service is provided by a third party, NICE TALK and the third party each bear responsibility within the scope of applicable laws and agreements for any disputes that may arise.

4.2.4 NICE TALK assumes platform liability only to the extent required by applicable laws. All exclusion and limitation-of-liability clauses in this Agreement apply to the maximum extent permitted by applicable laws.

4.3 User Complaint Handling

4.3.1 You understand and agree that if disputes arise during interactions with other users and they complain to OfoxAI, OfoxAI will actively verify and handle them. However, OfoxAI's customer support and sales personnel are not legal professionals and can only judge submitted evidence with ordinary-person understanding. Therefore, except in cases of intent or gross negligence, NICE TALK or OfoxAI shall be exempted from liability.

4.3.2 Unless otherwise evidenced, data stored on NICE TALK's servers is the only valid evidence of your use of the OfoxAI Platform.

4.4 Prohibited Provisions

4.4.1 You shall comply with applicable laws and regulations and shall not use OfoxAI services or accounts to engage in or facilitate any of the following conduct: (1) Endangering national security, leaking state secrets, subverting state power, undermining national unity, or damaging national honor and interests; (2) Promoting cults or feudal superstition; (3) Spreading rumors, disrupting social order, or undermining social stability; (4) Disseminating obscene, pornographic, gambling, violent, homicidal, terrorist, harassing, vulgar content, or incitement to crime; (5) Insulting, defaming, threatening, or infringing on others' privacy or lawful rights; (6) Fabricating facts or concealing the truth to mislead or deceive others; (7) Other conduct violating public order, OfoxAI Platform agreements and rules, or applicable laws.

4.4.2 NICE TALK respects and protects your and others' IP, trade secrets, and other lawful rights. You guarantee that information published on the OfoxAI Platform does not infringe any third-party IP, trade secrets, or lawful rights. Otherwise, NICE TALK may remove the allegedly infringing content upon notice from rights holders or related parties, and you will bear all losses and adverse consequences to yourself, others, NICE TALK, and OfoxAI.

4.4.3 Unless permitted by applicable laws or authorized by NICE TALK in writing, you shall not: (1) Reverse engineer, decompile, or otherwise attempt to discover the source code of the OfoxAI Platform; (2) Directly or indirectly steal user or other information on the OfoxAI Platform through any means (including but not limited to hot-linking, redundant scraping, unlawful crawling, simulated downloads, deep linking, or counterfeit registration); (3) Use the OfoxAI Platform through third-party software, plugins, cheats, or systems not developed, authorized, or licensed by NICE TALK, or interfere with, damage, modify, or otherwise impact the normal operation of the OfoxAI Platform; (4) Engage in activities harmful to computer network security in connection with the OfoxAI Platform, including but not limited to unlawful intrusion, interfering with normal network functions, or stealing network data, or supporting such activities with programs or tools; attempting to interfere with or damage the OfoxAI Platform system or site, intentionally spreading malware or viruses, or otherwise disrupting normal network information services; (5) Circumvent or attempt to circumvent any security measures, rate limits, or access controls; (6) Without prior written consent, use the Services to develop competing API proxy or gateway services; (7) Engage in automated scraping, excessive API calls, or any activity that may degrade service performance for other users; (8) Impersonate others or misrepresent your affiliations using the Services; (9) Use the OfoxAI Platform in any other unlawful manner, for any unlawful purpose, or inconsistent with other standards set by NICE TALK.

5. Payment

5.1 Your use of the Services or any individual service indicates your agreement to pay all associated fees. OfoxAI Services are provided on a pay-as-you-go model: we charge based on your actual API usage (tokens consumed) at the standard prices published on the OfoxAI website; prices may differ among models. You understand and agree that prices are subject to change, and the applicable price shall be the one at the time you place and pay for the order. We may also provide promotional credits or free tiers at our discretion and reserve the right to modify or terminate such offers at any time.

5.2 OfoxAI may require you to provide a card number from a card-issuer we accept to activate your service or pay any related fees. OfoxAI will charge usage fees and other charges from the account or bank card you provide. If you authorize OfoxAI to charge fees to your card, you authorize OfoxAI to automatically debit all charges relating to your account from that card, unless you notify OfoxAI in writing at least five natural days in advance to terminate the authorization. You agree to maintain a valid payment method and sufficient balance. If your balance is insufficient or there are unpaid amounts, we reserve the right to suspend services.

5.3 Please note that, unless the inability to provide the Services normally is attributable to NICE TALK or OfoxAI, all fees paid for the Services are non-refundable, and you waive any right or power to pursue or claim such amounts.

6. Protection of User Information and Intellectual Property

6.1 Protection of User Information

6.1.1 NICE TALK attaches great importance to the protection of user information (information that can identify a user independently or in combination with other information). When you use services provided by OfoxAI, you agree that NICE TALK and/or OfoxAI may collect, store, use, disclose, and protect your information in accordance with the Privacy Policy published on the OfoxAI Platform. We recommend that you read the Privacy Policy in full to better protect your privacy.

6.2 User Information Warranties and Authorization

6.2.1 You represent and warrant that you own or have obtained the necessary rights to information you publish on the OfoxAI Platform. Otherwise, NICE TALK and/or OfoxAI may delete or block such information in accordance with law or this Agreement, and NICE TALK or OfoxAI shall not be liable for any loss or damage caused to you thereby.

6.2.2 Unless otherwise evidenced, you understand and agree that, for all information provided at registration or subsequently (including name/title, email, contact number, verification code, etc.), you grant NICE TALK, its affiliates, and OfoxAI an irrevocable, non-exclusive, worldwide, royalty-free license to use such information (including storage, use, reproduction, modification, analysis, transmission, editing, translation, and sharing with affiliates), and the right to gather evidence, file complaints, and bring litigation in our own name against third-party infringement, all to the extent permitted by applicable law.

6.3 Intellectual Property

6.3.1 The OfoxAI Platform and its software, designs, documentation, trademarks, and proprietary technology are owned by the Company and protected by IP laws. This Agreement does not grant you any right to use our trademarks, logos, or brand.

6.3.2 You retain ownership of content you submit to the OfoxAI Services ("Input"). Subject to this Agreement and underlying model providers' policies, you own the outputs generated by AI models based on your Input ("Output") to the extent permitted by applicable law.

6.3.3 You acknowledge that AI-generated content may not be unique and that other users may obtain similar or identical Output. The Company does not claim ownership of your Input or Output and makes no warranty regarding the IP status of any AI-generated content.

7. User Breach and Handling

7.1 Determination of Breach

7.1.1 You will be deemed in breach if: (1) You violate applicable laws when using the OfoxAI Platform; (2) You violate this Agreement or any supplementary agreement (including amendments).

7.2 Breach Handling Measures

7.2.1 If information you publish on the OfoxAI Platform constitutes a breach, NICE TALK and/or OfoxAI may promptly delete or block such information and ban your account under the applicable rules.

7.2.2 If your conduct on the OfoxAI Platform, or off-platform conduct that affects the OfoxAI Platform and users, constitutes a breach, NICE TALK and/or OfoxAI may suspend your account login; if it constitutes a material breach, we may seal your account and terminate services.

7.2.3 NICE TALK and/or OfoxAI may publicize on the OfoxAI Platform the information regarding the handling of such breaches and other unlawful information confirmed by effective legal documents from state administrative or judicial authorities. Where material violations or crimes are involved, NICE TALK and/or OfoxAI shall retain relevant records and report to relevant state authorities.

7.2.4 Where NICE TALK and/or OfoxAI takes breach-handling measures against you due to your breach, you shall bear your own losses (including but not limited to loss of virtual property, inability to use account or platform services, inability to obtain account assets or other rights) and corresponding legal liability. Forms of legal liability include but are not limited to compensation for damages, apology, elimination of impact, and return of property. NICE TALK or OfoxAI shall not be liable for any loss or damage caused to you thereby.

7.3 Indemnification

7.3.1 If your acts cause NICE TALK, its affiliates, or OfoxAI to suffer losses (including direct economic losses, goodwill losses, and indirect economic losses such as compensation paid externally, settlement payments, attorneys' fees, and litigation costs), you shall compensate NICE TALK and/or its affiliates and OfoxAI for all such losses.

7.3.2 If your acts cause NICE TALK, its affiliates, or OfoxAI to face third-party claims, they may seek full recourse from you for all losses after performing monetary or other obligations to the third parties.

7.3.3 Our total aggregate liability arising from or related to this Agreement or the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

7.3.4 To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the Services, including but not limited to loss of profits, data, or business opportunities.

7.4 Special Arrangements

7.4.1 If you provide NICE TALK or its affiliates' employees or consultants with physical goods, cash, cash equivalents, services, travel, or other benefits that clearly exceed normal business negotiations, you may be deemed to have engaged in commercial bribery. In such cases, NICE TALK may immediately terminate all cooperation with you and charge liquidated damages and/or compensation, calculated based on NICE TALK's economic and goodwill losses from your bribery.

7.4.2 If NICE TALK terminates this Agreement due to your serious breach, to maintain the order of the OfoxAI Platform and protect consumer rights, NICE TALK and its affiliates may suspend or terminate cooperation under other agreements with you, and notify you in the manner set forth in Section 9.

8. Amendments to the Agreement

8.1 NICE TALK and/or OfoxAI may from time to time amend this Agreement and the supplementary agreements in response to changes in applicable laws and the need to maintain transaction order and protect consumer rights. The amended agreement or supplementary agreements ("Amendments") will be notified to you by statutory procedures and in the manner set forth in Section 9 below.

8.2 If you disagree with the Amendments, you may contact OfoxAI before the effective date to provide feedback. If feedback is accepted, OfoxAI may, at its discretion, adjust the Amendments before the effective date. The Amendments shall be based on the latest supplementary agreement content published on the OfoxAI Platform; upon publication on the effective date, they shall automatically take effect and replace the prior content.

8.3 If you still disagree with the effective Amendments, you shall stop using OfoxAI Platform services from the effective date, and the Amendments shall not apply to you. If you continue using OfoxAI Platform services after the effective date, you shall be deemed to have fully read, acknowledged, and agreed to comply with the effective Amendments.

8.4 You agree that in case of any merger, division, acquisition, transfer of shares, or transfer of assets involving NICE TALK, NICE TALK may, after unilateral notice to you, replace the content of this Agreement and transfer part or all of the OfoxAI Platform services and the corresponding rights and obligations to a third party; such substitution, transfer, or assignment shall take effect after unilateral notice to you by NICE TALK.

9. Notices

9.1 Valid Contact Methods

9.1.1 When you register as an OfoxAI Platform user and accept OfoxAI Platform services, you shall provide NICE TALK and OfoxAI with truthful and valid contact information (including email, address, phone number). If such information changes, you have the obligation to update it in a timely manner and keep yourself reachable.

9.1.2 NICE TALK and/or OfoxAI will send you various notices via one or more of the contact methods you provided. The content of such notices may have a major favorable or unfavorable impact on your rights and obligations. Please pay attention to them in a timely manner.

9.1.3 You may receive commercial messages such as product ads, promotions, or offers via the phone number or email you provided at registration. If you do not wish to receive such information, you may opt out through the unsubscribe function provided by OfoxAI.

9.2 Service of Notices

9.2.1 When NICE TALK and/or OfoxAI delivers notices via the above methods, written notices delivered electronically (including but not limited to announcements on the OfoxAI website, SMS to your phone number, and email to your email address) shall be deemed served on the date of sending. Paper notices shall be deemed served on the fifth natural day after posting to the provided address.

9.2.2 For any disputes arising from registration or use of OfoxAI products/services, or enforcement due to violations, you agree that judicial authorities (including but not limited to the Hong Kong courts or courts in other jurisdictions with proper authority) may serve legal documents (including but not limited to litigation documents) via SMS, email, or other modern communication methods or by mail. The phone number and email you designated to receive legal documents shall be those you provided when registering or updating your OfoxAI Platform account; service via those contact methods shall be deemed effective.

9.2.3 You agree that judicial authorities may serve legal documents using one or more of the above methods; where multiple methods are used, the earliest service shall prevail.

9.2.4 You agree that the above service methods apply to all stages of judicial proceedings, including but not limited to first instance, appeal, and enforcement procedures.

9.2.5 You shall ensure that the contact information provided is accurate and valid, and update it in real time. If legal documents cannot be served or are not served on time because of inaccurate contact information or failure to timely notify changes, you shall bear the resulting legal consequences.

10. Termination of the Agreement

10.1 Termination Events

10.1.1 You may terminate this Agreement by: (1) Voluntarily deactivating your OfoxAI account; (2) Stopping use before Amendments take effect and expressly refusing to accept them; (3) Expressly indicating that you will not continue to use the OfoxAI Platform and meeting the platform's termination conditions.

10.1.2 NICE TALK and/or OfoxAI may notify you of termination via the methods in Section 9 if: (1) You breach this Agreement and NICE TALK and/or OfoxAI terminates under breach clauses; (2) You misuse others' accounts, publish prohibited content, defraud others, sell counterfeit goods, disrupt market order, or seek improper gains, and NICE TALK and/or OfoxAI bans your account under platform rules; (3) Except for the above, you repeatedly violate OfoxAI Platform rules, systems, or notices with serious circumstances, and NICE TALK and/or OfoxAI bans your account; (4) Your account is reclaimed by NICE TALK and/or OfoxAI under this Agreement; (5) Other situations where termination is warranted.

10.2 Post-Termination Handling

10.2.1 After termination, unless applicable law clearly provides otherwise, NICE TALK and/or OfoxAI has no obligation to disclose any information in your account to you or a third party you designate.

10.2.2 After termination, NICE TALK and/or OfoxAI retains the following rights: (1) To continue storing, to the extent permitted by applicable law, various information submitted by you under this Agreement on the OfoxAI Platform; (2) To pursue liability for your past breaches under this Agreement.

11. Governing Law, Jurisdiction, and Miscellaneous

11.1 The formation, effectiveness, interpretation, amendment, supplement, termination, execution, and dispute resolution of this Agreement are governed by the laws of the Republic of Singapore. Where applicable law has no relevant provisions, commercial and/or industry practices shall apply.

11.2 Disputes arising from or relating to your use of the OfoxAI Platform shall be resolved by consultation between you and NICE TALK and/or OfoxAI. If consultation fails, either party may apply to the Singapore International Arbitration Centre ("SIAC") for arbitration under the SIAC Rules then in force. The seat of arbitration shall be Shanghai, China; the language shall be Chinese. The arbitral award is final and binding on both parties.

11.3 If any clause of this Agreement is held invalid, void, or unenforceable for any reason, such clause shall be deemed severable and shall not affect the validity or enforceability of the remaining clauses, which shall remain binding on both parties.
